HOW PURCHASING WORKS

A Structured International Procurement Process

NUXSEMI structures enterprise procurement according to the technical requirement, transaction value, destination, applicable regulatory framework, delivery method and agreed commercial terms. The process establishes clear technical, documentary and commercial requirements before shipment and final acceptance.

Define equipment, technical specifications, compatibility, quantity, destination, deployment schedule and applicable certification or integration requirements.

NUXSEMI prepares a commercial quotation identifying the proposed equipment, quantity, pricing, quotation validity, availability and proposed delivery and payment structure.

Commercial & Compliance Review

Transaction structure, customer information, jurisdiction, end-user and end-use requirements and applicable compliance considerations are reviewed before definitive commitment.

Contract & Payment Structure

The parties agree the definitive sales contract, applicable Incoterms® 2020 rule, named place or port, payment method, banking requirements and required commercial documents.

Inspection & Documentation

Where applicable, equipment may undergo specification, quantity and serial-number verification, factory or pre-shipment inspection and preparation of the contractually required documents.

Delivery & Acceptance

Equipment is delivered under the agreed contractual delivery rule. Receipt, inspection, acceptance and any non-conformity procedure are governed by the definitive sales contract.

Product availability, pricing, delivery schedule, payment structure and transaction acceptance remain subject to individual quotation, compliance review, contractual agreement and, where applicable, issuing-bank or financing approval.
INTERNATIONAL DELIVERY TERMS

Incoterms® 2020 for International Technology Supply

NUXSEMI structures international technology supply according to the nature of the equipment, transport mode, destination, transaction value and commercial requirements of each transaction. Depending on the agreed structure, supply may be concluded under EXW, FCA, FOB, CIF or CIP — Incoterms® 2020.

The definitive quotation and/or sales contract identifies the precise Incoterm®, named place or port, allocation of transportation costs, insurance obligations, customs responsibilities and transfer of risk applicable to the transaction.

EXW

Ex Works

Goods are made available at the precisely agreed factory, warehouse or other named place. The buyer assumes the obligations allocated to the buyer under EXW from the agreed delivery point, subject to the definitive contract and applicable law.

BUYER-CONTROLLED COLLECTION
FCA

Free Carrier

A practical structure for many containerised and multimodal technology shipments where the goods are delivered to the agreed carrier at the precisely identified named place in accordance with the FCA rule.

CONTAINERISED & MULTIMODAL
FOB

Free On Board

Used only for appropriate sea or inland-waterway shipments. Delivery occurs when the goods are placed on board the buyer-nominated vessel at the named port of shipment, with risk transferring in accordance with the FOB rule.

SEA / INLAND WATERWAY
CIF

Cost, Insurance & Freight

Used for appropriate sea or inland-waterway shipments where the seller arranges carriage and the insurance required under CIF to the named destination port, while transfer of risk remains governed by the CIF rule.

SEA FREIGHT + INSURANCE

Selecting the Appropriate Delivery Structure

FOB and CIF are used only where appropriate for sea or inland-waterway transport. For containerised, multimodal or high-value technology shipments — including servers, GPUs, enterprise SSDs and related infrastructure — FCA or CIP may be more appropriate depending on the agreed logistics and commercial structure.

INTERNATIONAL PAYMENT & TRADE FINANCE

Bank-Supported Structures for International Procurement

Depending on transaction value, customer profile, jurisdiction, product availability and the agreed commercial structure, NUXSEMI may consider appropriate bank-supported payment and security arrangements for international technology transactions.

Acceptance of any payment instrument remains subject to transaction approval, issuing-bank acceptability, wording approval, compliance review and the definitive sales contract.

BANK TRANSFER

Direct Commercial Settlement

Advance, staged or otherwise contractually agreed bank-transfer structures may be used where appropriate to the value, commercial profile and risk allocation of the transaction.

eUCP

Electronic Documentary Presentation

Where electronic records are expressly permitted under the transaction and the documentary credit, the applicable eUCP supplement may be incorporated alongside UCP 600.

SBLC

Standby Letter of Credit

A standby letter of credit may be considered as an independent bank undertaking where expressly agreed by the parties, including structures made subject to ISP98.

URDG 758

Demand Guarantees

Performance, advance-payment or other demand guarantees may be incorporated into appropriate transactions where the relevant guarantee expressly provides for application of URDG 758.

DOCUMENTARY SETTLEMENT

Payment Against Compliant Presentation

Where a documentary credit is used, payment is linked to a compliant presentation under the terms of the credit rather than to a general or undefined concept of shipping documents.

Typical Documentary Requirements

Depending on the agreed transaction, required documents may include the commercial invoice, packing list, transport document, certificate of origin where applicable, agreed inspection or quality documentation, insurance documents where required under the applicable delivery structure and any other documents specifically identified in the documentary credit or sales contract.

Instrument Acceptance & Banking Review

NUXSEMI does not represent that any documentary credit, standby instrument or guarantee will be accepted automatically. Acceptance remains subject to the identity and standing of the issuing bank, instrument wording, applicable law and regulation, sanctions and compliance review, transaction structure and definitive contractual agreement.

Transactions may require customer identification, beneficial-ownership verification, anti-money-laundering controls, counterparty screening and other compliance procedures appropriate to the jurisdiction and transaction.

Supply remains subject to applicable sanctions regimes, export-control regulations, technology restrictions, licensing requirements and end-user or end-use controls.

Customs, VAT & Taxation

Customs procedures, import duties, VAT/GST, withholding taxes and other fiscal obligations depend on the transaction structure, applicable Incoterm®, destination and relevant jurisdictions.

Product Certification & Import Requirements

Importation, installation or use of technology may be subject to electrical, telecommunications, environmental, safety or other product-specific technical and regulatory requirements.

Dispute Resolution

The definitive sales contract may provide for competent national courts or an expressly agreed international arbitration mechanism according to the nature, jurisdiction and commercial requirements of the transaction.
