Cross-Border Leasing and Contractual Framework

International Legal & Commercial Framework

NUXSEMI cross-border technology leasing transactions are structured through individually negotiated commercial agreements defining the equipment, lease structure, payment obligations, delivery and acceptance procedures, title and ownership, permitted use, insurance, maintenance responsibilities, return conditions, purchase or renewal options, events of default, remedies, governing law and dispute-resolution arrangements.

Governing Law & Dispute Resolution Each transaction identifies the governing law and competent forum or agreed arbitration mechanism. International arbitration may be used where expressly incorporated into the parties' contract.

UNIDROIT Financial Leasing Principles Where legally applicable, an international financial leasing transaction may be structured with reference to the UNIDROIT Convention on International Financial Leasing (Ottawa, 1988), subject to its scope of application and the relevant jurisdictions.

ICC Incoterms® 2020 Where appropriate, ICC Incoterms® 2020 may be expressly incorporated into equipment supply and delivery documentation to allocate delivery responsibilities, transportation costs and transfer of delivery-related risk. Incoterms® do not themselves determine ownership of leased equipment or replace the governing lease agreement.

WTO / GATS Framework Cross-border financial leasing services operate within the broader international trade framework established by the WTO General Agreement on Trade in Services, subject to each jurisdiction's commitments, prudential measures and domestic regulatory requirements.

KYC, AML & Compliance Transactions may be subject to customer identification, beneficial ownership verification, anti-money-laundering controls, counterparty screening and other compliance procedures required by applicable law, financial institutions and financing partners.

Sanctions & Export Controls Equipment supply, financing, shipment and use remain subject to applicable sanctions regimes, export-control laws, end-user and end-use restrictions and technology-transfer requirements.

Customs, VAT & Taxation Import duties, customs procedures, VAT/GST, withholding taxes, registration requirements and other fiscal obligations are determined according to the transaction structure and applicable jurisdictions.

Title, Insurance & Asset Protection Lease documentation specifies ownership and title, insurance requirements, loss and damage responsibilities, maintenance standards, permitted relocation and asset-return obligations.

Local Licensing & Regulatory Approval Financial leasing may constitute a regulated activity in certain jurisdictions. Availability is therefore subject to local licensing, financing-partner requirements and any regulatory approvals required for the proposed structure.

The applicable legal framework is determined transaction by transaction. No reference to ICC, WTO/GATS or UNIDROIT should be interpreted as replacing mandatory national law or as establishing that any particular convention, rule or regulatory regime automatically applies to every NUXSEMI transaction.
